By accessing or using BuildWiseAI ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform.

Financial, investment, or legal advice

Direct employment or management of construction workers

3. User Responsibilities

3.1 Professional Verification

You are responsible for:

Verifying the credentials, licenses, and insurance of all professionals you engage through the Platform
Obtaining multiple bids from licensed contractors before proceeding with any project
Ensuring compliance with local building codes, zoning regulations, and permit requirements
Consulting with licensed professionals (contractors, architects, engineers, attorneys, financial advisors) before making any significant decisions

3.2 Estimate Accuracy

All cost estimates generated by the Platform are informational only and based on:

AI models trained on historical data
Regional pricing averages
User-provided inputs

Actual costs may vary significantly based on site conditions, material availability, labor rates, project complexity, and market fluctuations. Always obtain professional estimates from licensed contractors.

3.3 Financial Projections

ROI reports, financial models, and profitability calculators are for informational purposes only. They do not constitute financial advice. All projections are estimates and should be verified by licensed financial advisors, CPAs, and real estate professionals before making investment decisions.

4. User Accounts and Personas

4.1 Account Registration

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Persona Selection

When registering, you select a persona (Homeowner, Subcontractor, General Contractor, Builder, Developer, Architect, Engineer, Investor, Designer, Property Manager). You must select the persona that accurately represents your role. Misrepresentation of your persona may result in account suspension.

4.3 Professional Credentials

If you represent yourself as a licensed professional (architect, engineer, contractor), you must:

Hold valid licenses in the jurisdictions where you operate
Maintain appropriate professional liability insurance
Comply with all applicable professional standards and regulations
Provide proof of credentials upon request

5. Fees and Payments

5.1 Subscription Tiers

The Platform offers multiple subscription tiers with different features and pricing. Pricing is subject to change with 30 days' notice.

5.2 Success Fees

Certain marketplace transactions (designer connections, architect referrals) may include success fees paid by the service provider (not the client). Success fee rates are disclosed before any transaction.

5.3 Refund Policy

Subscription fees are non-refundable except as required by law. Pay-per-estimate purchases are final once the estimate is generated.

6. Intellectual Property

6.1 Platform Content

All content on the Platform (software, algorithms, design, text, graphics, logos) is owned by BuildWiseAI or its licensors and protected by copyright, trademark, and other intellectual property laws.

6.2 User Content

You retain ownership of content you upload (project descriptions, photos, documents). By uploading content, you grant BuildWiseAI a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your content for the purpose of providing the Platform services.

6.3 Generated Estimates

Cost estimates, reports, and analyses generated by the Platform are licensed to you for your personal or business use. You may share them with clients, partners, and professionals involved in your projects.

7. Limitation of Liability

7.1 No Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILDWISEAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Cost overruns or budget shortfalls
Project delays or failures
Losses from inaccurate estimates or projections
Disputes with contractors, designers, or other professionals
Investment losses or missed opportunities

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO BUILDWISEAI IN THE 12 MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless BuildWiseAI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

Your use of the Platform
Your violation of these Terms
Your violation of any third-party rights
Your construction projects or business activities

9. Third-Party Services

The Platform may integrate with or link to third-party services (Stripe for payments, Google Maps, etc.). Your use of third-party services is subject to their terms and privacy policies. BuildWiseAI is not responsible for third-party services.

10. Dispute Resolution

10.1 Arbitration

Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except as otherwise required by law.

10.2 Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive any right to participate in class actions or class-wide arbitration.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any reason at our discretion. You may cancel your account at any time through your account settings.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or Platform notification. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
